2. Use of Offer Service
You may receive an offer on the Site (along with any related communications and access to CarsareReady.com technology, collectively the “Offer Services”) from a third-party car dealer (“Participating Dealer”) to purchase your vehicle (an “Offer”). Offers from Participating Dealers, any related transactions, and any communications facilitated through the Offer Services are strictly between you and the applicable Participating Dealer. CarsareReady.com’s role is limited to providing the platform to facilitate these connections and does not involve participating in or guaranteeing any Offer or transaction.
By accepting an Offer, you
(i) confirm that all vehicle-related information you provide in connection with a vehicle listing or potential sale or rent is accurate and authorize CarsareReady.com to share this information with the applicable Participating Dealer(s); and
(ii) accept any terms set by the Participating Dealer regarding the Offer, any resulting vehicle sale or rent transaction, or any related matter.

Each Offer provided through the Offer Services is subject to the specific terms, conditions, and contingencies identified by the Participating Dealer. No binding agreement to purchase your vehicle exists until you provide all requested information, and all transaction documentation is completed and accepted by the Participating Dealer. For clarity: any Offer is made solely by the Participating Dealer, and any resulting vehicle sale or rent transaction is strictly between you and the Participating Dealer. CarsareReady.com is not a party to these transactions and assumes no responsibility or liability for them. The availability of the Offer Services may vary depending on your location, the type of vehicle, and other factors. CarsareReady.com does not guarantee that your vehicle will qualify for or receive an Offer. Participating Dealers and CarsareReady.com reserve the right to determine eligibility, and certain categories of vehicles may be excluded from participation in the Offer Services at their sole discretion.

Participating Dealers
When you receive an Offer from a Participating Dealer, you will be responsible for delivering the vehicle and providing any supporting documentation as required by the Participating Dealer. Each Offer is contingent upon a verification inspection conducted by the Participating Dealer, and the Offer may be adjusted or revoked based on the results of this inspection. Participating Dealers operate independently and are not owned, managed, or affiliated with CarsareReady.com. CarsareReady.com expressly disclaims any responsibility or liability for changes to a Participating Dealer’s Offer or for a Participating Dealer’s refusal to accept a vehicle.

BY SUBMITTING YOUR INFORMATION TO RECEIVE AN OFFER, YOU AGREE:
(i) Not Sue Carsareready.com; its affiliates; its service providers; or their respective officers, directors, employees, and agents (collectively, the “Released Parties”) for any claims, disputes, or damages arising out of or related to the actions, decisions, or conduct of any Participating Dealer in connection with the Offer Services; and
(ii) To release and hold harmless the released parties from and against any and all claims, liabilities, or damages relating to the conduct of any Participating Dealer. You agree that your sole remedy in the event of a dispute or issue regarding an Offer is with the Participating Dealer and not with the Released Parties.

3. Use of Carsareready.com Site Listings Generally
CarsareReady.com operates as a platform to connect buyers and sellers but does not hold or possess title to any vehicles listed for sale or rent on the Site. All transactions facilitated through the Site are conducted directly between buyers and sellers.

User Requirements
• All buyers and sellers must be at least 18 years old to use the Site. By using the Site, you confirm that you meet this age requirement.

Buyer Responsibilities
• Buyers are solely responsible for thoroughly reviewing the full vehicle listing, including price, condition, mileage, history, and photos, before committing to a purchase.
• Price and terms of sale or rent are negotiated directly between the buyer and seller. CarsareReady.com does not act as an intermediary in these negotiations.

Disclaimer on Information Accuracy
CarsareReady.com is not responsible for any inaccurate or incomplete information provided by third parties, including but not limited to:

1. Vehicle Details: Mileage, condition, history, or photos.
2. Buyer/Seller Reliability: Identity, credibility, or suitability of either party.

Vehicle History Reports
AutoCheck Vehicle History reports, provided by an unaffiliated third-party service, are for informational purposes only. CarsareReady.com is not liable for any errors or inaccuracies in these reports. Buyers and sellers are encouraged to exercise caution, common sense, and good judgment when engaging in transactions.

Warranty Disclaimer
CARSAREREADY.COM MAKES NO GUARANTEES, WARRANTIES, OR REPRESENTATIONS REGARDING ANY VEHICLE LISTED OR SOLD THROUGH OUR SITE. ANY DISPUTE ABOUT A VEHICLE’S CONDITION IS STRICTLY BETWEEN THE BUYER AND SELLER.

Lending and Financing
Credit and lending applications available on the Site are handled entirely by independent, unaffiliated third-party providers. CarsareReady.com is not involved in, nor responsible for, the terms, conditions, warranties, or outcomes of these arrangements.

Interactive Services (Chatbot, Managed Chat, etc.)
The Site may offer interactive tools, such as a chatbot or managed chat, to enhance user convenience. By using these tools, you consent to the recording and retention of communications for quality assurance and verification purposes. Use of these tools is governed by these Terms and Conditions and the CarsareReady.com Privacy Policy.

Use of Private Sale or Rent Services
CarsareReady.com offers the Private Listing Platform, enabling private buyers and sellers to connect. Information provided on this platform is supplied by the seller or other third parties. CarsareReady.com does not verify this information and is not responsible for inaccuracies.
• CarsareReady.com provides the Private Listing Platform as a listing service only and does not participate in or guarantee the transactions.
• Vehicle prices listed do not include taxes, title and registration fees, financing charges, or other costs.

Private Sale or Rent Fees
• Some Private Listing Platform services may require payment of nonrefundable upfront fees.
• These fees may change at CarsareReady.com’s discretion, and users are responsible for applicable taxes. Payment obligations are unconditional and are not affected by factors such as ad performance, vehicle sales or rent, or inspection outcomes.

Featured Listings
Featured listing services are available only for vehicles that:
(i) Have a FAIR, GOOD, or GREAT CarsareReady.com Deal Rating or no Deal Rating; and
(ii) Contain a valid Vehicle Identification Number (VIN).

Once payment is made, services will be provided for the specified time unless the listing is removed by you or by CarsareReady.com due to listing violations.

Private Listing Platform Seller Requirements
As a Private Listing Platform seller, you represent and warrant that
(i) You are not a car dealer or broker and are not acting in that capacity.
(ii) All vehicle and contact information provided to CarsareReady.com is accurate and complete.
(iii) Your listing includes all relevant vehicle details.
(iv) You are prepared to sell the vehicle at the listed price.
(v) You hold the title and physical possession of the vehicle listed.

4. Intellectual Property Rights
Unless otherwise specified, all copyright and other intellectual property rights on this Site and its content—including, but not limited to, text, data, images, graphics, logos, audio, video, animations, podcasts, reports, studies, downloads, and other materials (collectively, the “Site Content”)—are owned by or licensed to CarsareReady.com and are protected under applicable intellectual property laws. These laws include, but are not limited to, copyright, trademark, database, and trade secret laws, as well as other relevant state, national, and international laws and regulations. Content You Post
By posting or distributing any content—including but not limited to messages, text, images, music, sound, photos, graphics, logos, or other materials (collectively, "Content")—to or through the Site, you:

1. Violates Laws or Rights

3. iii. Infringes on intellectual property rights, including patents, trademarks, copyrights, or rights of privacy and publicity.

3. Contains Sensitive or Unrelated Material

1. v. Includes private or personally identifiable information of third parties (e.g., addresses, phone numbers, Social Security numbers, or credit card numbers).

4. Promotes or Solicits

1. vii. Contains unsolicited promotions, advertising, political campaigning, or solicitations.
2. viii. Is submitted via the Site’s vehicle listing lead forms for purposes other than genuine consumer inquiries, such as:

   (b) Dealer-to-dealer or wholesale vehicle transactions; or
   (c) Any other business or commercial purpose.

5. Harmful or Destructive Content

6. Violates Site’s Purpose

1. x. Is, in CarsareReady.com’s sole discretion, objectionable or inappropriate, restricts or inhibits others from using or enjoying the Site, or exposes CarsareReady.com, its affiliates, or users to harm or liability.

Additionally, you agree not to:

1.Interfere with Site Operations

• Disrupt or interfere with the Site, its servers, or its networks.

2. Attempt Unauthorized Access

• Attempt to gain unauthorized access to any part of the Site, other user accounts, or systems connected to the Site.

3. Use Automated Mechanisms

• Use automated tools (e.g., web robots, crawlers, or spiders) to systematically extract data from the Site, except in strict compliance with the Robots Exclusion Protocol.

7. Rights to User Content
Content submitted by users to CarsareReady.com is considered non-confidential, and CarsareReady.com is under no obligation to treat such content as confidential or proprietary. By submitting content to the Site, you grant CarsareReady.com a non-exclusive, royalty-free, worldwide, perpetual, transferable, and sublicensable license to use, display, reproduce, modify, adapt, translate, publicly perform, distribute, store, create derivative works from, publish, delete, edit, or reject the content as CarsareReady.com sees fit.
CarsareReady.com is not obligated to compensate you for any content you submit or for its use in accordance with these Terms. Furthermore, CarsareReady.com is not required to seek your permission to edit, modify, or delete the content once submitted.
CarsareReady.com is also under no obligation to attribute authorship of content to you and is not responsible for enforcing any form of attribution by third parties.

If you retain any moral rights in the content (such as rights of attribution or integrity), you hereby acknowledge and agree that:

1. (a) You do not require any personally identifying information to be used in connection with the content or any derivative works, updates, or modifications;
2. (b) You have no objection to the publication, use, modification, deletion, or exploitation of the content by CarsareReady.com or its licensees, sublicensees, successors, or assigns;

CarsareReady.com makes no conditions, representations, or warranties of any kind regarding the suitability of the Site content, or any portion thereof, for any purpose. The Site, all Site content, and all other content available on or through the Site are provided on an “as is” and “as available” basis, and CarsareReady.com expressly disclaims any and all conditions, representations, and warranties of merchantability or fitness for a particular use, including all implied warranties in connection with the foregoing.
Furthermore, CarsareReady.com expressly disclaims any condition, warranty, or representation as to the accuracy, results, timeliness, completeness, non-infringement, or proprietary nature of the Site, all Site content, and all other content available on or through CarsareReady.com. CarsareReady.com does not guarantee that the Site will be error-free, continuously available, or free of viruses or other harmful components.

We are not responsible for the content of any linked sites and provide these links for your convenience only. The presence of a link does not imply endorsement, sponsorship, or affiliation with the linked site.
Since linked sites are owned and operated by independent businesses, CarsareReady.com cannot guarantee your satisfaction with their products, services, or business practices. We encourage you to conduct any investigation you feel necessary, including reviewing their Terms of Use and Privacy Policies, before engaging in transactions with these third-party sites.

11. Dispute Resolution – Mandatory Arbitration and Class Action Waiver
Most customer concerns can be resolved quickly and effectively by contacting our customer service team. In the unlikely event that our customer service department cannot resolve your concerns, we mutually agree to resolve any disputes or claims arising out of or related to these Terms and Conditions, the Site, its content, or your use of the Site or Interactive Areas (“Disputes”) through binding arbitration or small claims court, rather than in courts of general jurisdiction, to the fullest extent permitted by law. Any arbitration under this agreement will take place on an individual basis only, to the maximum extent permitted by law. Class arbitrations, class actions, private attorney general actions, and representative arbitrations are not permitted. In arbitration, both you and Carsareready.com will be entitled to recover attorneys' fees from the other party to the same extent as would be possible in court.

1. Mandatory Pre-Arbitration Notice and Informal Dispute Resolution Procedures
Carsareready.com values its customers and strives to resolve disputes informally where possible. Before formally pursuing a Dispute in arbitration, you agree to first send a detailed, individualized notice (“Notice”) by email to [email protected]. If Carsareready.com has a dispute with you, we will first send a Notice to the email address on file for you.
Your Notice must include the following:
1. 1. Your full name, address, telephone number, and email address.
2. 2. Information sufficient for us to identify any relevant interaction (e.g., email communications).
3. 3. A detailed description of the dispute, the nature and basis of your claim(s), and the specific relief you seek, including a calculation of the amount.
4. 4. Your personal signature (counsel’s signature, if represented, is not sufficient).
Carsareready.com’s Notice will similarly include information to identify any relevant interaction and a detailed description of our dispute, including the nature of our claim(s) and the relief we seek.
Both parties agree to negotiate in good faith to resolve the dispute amicably. If requested by either party, you agree to participate personally in a conference call or video call to discuss the dispute (with your counsel, if represented). All parties and their counsel, if applicable, will work cooperatively to schedule this conference at the earliest convenient time.
If the dispute is not resolved within 60 days of receipt of a completed Notice, and if both parties have not agreed to extend this period, either party may initiate arbitration. Completing this informal dispute resolution process is a mandatory condition before filing for arbitration. The statute of limitations and any arbitration filing deadlines will be tolled during this process. Unless otherwise prohibited by law, the arbitration administrator will not accept a demand for arbitration unless the claimant certifies in writing that they have fully complied with this process. This certification must be personally signed by you or by Carsareready.com.

A court has the authority to enjoin the filing or prosecution of arbitration if a fully completed Notice and participation in good faith in this informal dispute resolution process have not been provided.

2. No Class Action Matters
We agree that any Dispute between us must be pursued individually and not as part of any class, consolidated, or representative proceeding. Neither you nor Carsareready.com will bring or participate as a plaintiff or class member in any class action, consolidated action, private attorney general action, or other representative proceeding in relation to any Dispute. Disputes shall be arbitrated only on an individual basis, and the arbitrator shall not have the authority to conduct class or representative proceedings.

3. Choice of Law and Forum; No Jury Trial
If for any reason a Dispute proceeds in court rather than arbitration:
(a) any such Dispute may only be filed in a state or federal court with competent jurisdiction located in Middlesex County, Massachusetts;
(b) you and Carsareready.com irrevocably consent to the exclusive personal jurisdiction and venue of these courts, agree to the fairness and convenience of proceedings in such courts, and waive any objections to proceeding in these courts;
(c) this Agreement and any Disputes will be governed by the Federal Arbitration Act, the rules of the American Arbitration Association, applicable federal law, and the laws of the Commonwealth of Massachusetts, without regard to conflicts of law principles; and
(d) both parties waive any right to a trial by jury.
4. Injunctive Relief
Notwithstanding the terms of this Agreement, either party may bring an action in court seeking an injunction or other equitable relief related to the protection of intellectual property or any conduct that violates the "Ownership and Intellectual Property" section of these Terms and Conditions.

5. Severability
If any provision in this “Dispute Resolution – Mandatory Arbitration and Class Action Waiver” section is found to be unenforceable, the remaining provisions will remain in full force and effect, and this section will be enforced as though the unenforceable provision was not included.

12. Assumption of Risk Your use of the Internet is solely at your own risk and subject to all applicable local, state, national, and international laws and regulations. Carsareready.com also reserves the right to remove any reviews or vehicle prices it deems, in its sole discretion, to be false, fraudulent, or in violation of its Guidelines for Dealer Pricing and Marketing. Embedded contact information, such as “watermarking,” in a dealer’s vehicle description or images may be removed if determined to be an attempt to bypass Carsareready.com’s lead routing process.

Carsareready.com may also delete, move, condense, or edit any Site content it deems unacceptable or inappropriate for legal or other reasons, though it assumes no obligation to do so.

14. Termination
Carsareready.com may, under certain circumstances and without prior notice, terminate your access to restricted parts of the Site, including those requiring registration.
Such termination may occur for reasons including, but not limited to:
